Terms of Service

These Terms of Service ("Terms") govern your access to and use of the mmdigitalmarketingkenya.com website and the digital marketing services provided by MM Digital Marketing Kenya ("we", "us"). By using the site or engaging us, you agree to these Terms.

1. Services

We provide digital marketing, SEO, paid media, web design & development, branding, AI automation, training and related services. The specific scope, deliverables, timelines and fees for any engagement are set out in a signed proposal or Statement of Work (SOW), which forms part of these Terms.

2. Client responsibilities

• Provide accurate information, brand assets, access credentials and timely feedback.
• Ensure any content, trademarks or materials you supply do not infringe third-party rights.
• Comply with the terms of the platforms we operate on your behalf (Google, Meta, TikTok, LinkedIn, etc.).

3. Fees & payment

Fees are as set in the SOW. Unless stated otherwise, invoices are payable within 7 days. Late payment may attract interest and suspension of work. Ad spend is billed separately and must be funded in advance.

4. Intellectual property

Upon full payment, deliverables created specifically for you are assigned to you, excluding third-party assets, open-source components, and our pre-existing tools, templates and know-how, which remain our property. We may reference completed work in our portfolio and case studies unless agreed otherwise in writing.

5. Confidentiality

Each party will keep the other's confidential information secure and use it only to perform this agreement.

6. Warranties & disclaimers

We deliver services with reasonable skill and care. We do not guarantee specific business outcomes such as rankings, sales, ROI or ad performance, as these depend on many factors outside our control. The website is provided "as is" without warranty of any kind.

7. Limitation of liability

To the maximum extent permitted by law, our total liability under any engagement is limited to the fees paid to us for the specific services giving rise to the claim in the three (3) months preceding it. We are not liable for indirect, incidental, or consequential losses.

8. Termination

Either party may terminate an engagement with written notice as specified in the SOW. Fees for work completed and non-cancellable third-party costs remain payable.

9. Governing law

These Terms are governed by the laws of the Republic of Kenya. Disputes will be resolved in the courts of Nairobi, subject to good-faith negotiation first.
